This session delves into directors' powers and duties under the Malaysian Companies Act 2016 and common law principles. Participants will gain comprehensive insights into directors’ statutory and fiduciary responsibilities, including duties to act in good faith, exercise reasonable care, and avoid conflicts of interest.

The scope and delegation of directors’ powers.

Accountability mechanisms in corporate governance.

 

The business judgment rule and its role in protecting directors from liability for well-informed decisions.
