Synopsis:

This training session provides an in-depth exploration of directors' powers and duties within the framework of the Malaysian Companies Act 2016 and common law principles. Participants will gain insights into the statutory and fiduciary responsibilities of directors, including their duties to act in good faith, exercise reasonable care and diligence, and avoid conflicts of interest.

Key topics include the scope of directors' powers, the process and accountability in delegating responsibilities, and the application of the business judgment rule to safeguard directors from liability for well-informed decisions. Through interactive discussions, case analyses, and role-playing exercises, participants will develop a solid understanding of directors' obligations, empowering them to navigate corporate governance challenges effectively. This session is essential for law students and legal practitioners aiming to master corporate law and ensure ethical compliance in their professional practice.
